Your company's bank account plays out in three stages, not one

In short: « The bank won't open my account » is rarely a banking problem. In Algeria, opening plays out in three distinct stages: the blocking of capital before the company exists — deposited with the notary, or with an authorised financial institution for joint-stock companies; registration in the trade register, which alone gives birth to the legal entity and releases the funds; then the definitive opening of the account in the company's name, with its own documents. Each stage has its file, each file its traps: an unregistered lease rejected at filing, a purpose clause unrelated to activity codes, a missing sector approval for an exercise that is nonetheless registered. This article lists the documents in the order institutions request them — National Trade Register Centre first, bank second — then reviews the blocking reasons we most frequently encounter, with the remedy proper to each.

1. 1. Why does the account play out in three stages, not one?

Because a bank can only open an account for a person that legally exists — and the Algerian company is born of its registration, not of its signature at the notary. The complete sequence:

2. 2. Before the bank: the file that gives birth to the company

The bank will always start by asking for the trade-register extract. That document itself is built at the CNRC on a precise file, published by the Centre:

  • name reservation (certificate), then notarised articles and lease contract;
  • publication in the BOAL — mandatory for any incorporation or statutory amendment;
  • payment of the fiscal stamp and registration duties, then registration in the trade register (procedures set by executive decree No. 15-111);
  • founders' birth certificates, name certificate, proof of capital deposit — with the notary by cheque, or in cash with the Treasury;
  • then existence declaration to the tax services and activity declaration to CASNOS.

One point from the Centre deserves highlighting, because it produces late banking blockages: for regulated activities, the approval remains required for effective exercise even where the register was delivered. A register obtained without approval describes an activity the company cannot yet carry on — and banks know it.

And the filter has just hardened: law No. 26-12 of 8 June 2026 rewrote article 8 of law No. 04-08 — persons definitively convicted for tax fraud, money laundering or terrorist financing are now expressly barred from registering in the trade register and from carrying on commercial activity.

3. 3. The banking file, document by document

Once the register is in hand, every bank applies its own forms — but the requested core converges. In the practice we observe, it includes:

The point most founders miss. The first three documents form one coherent whole in the account officer's eyes: purpose clause, register codes and announced operations must tell the same story. 4. 4. The five blocking reasons we see most often

The registered-office lease that was never recorded

A private-agreement lease is not a proof: our SARL guide flags it as a regular rejection reason at filing. Tax recording precedes everything.

A purpose clause inconsistent with codes or operations

A register that fails to describe the real activity, an announced operation outside the purpose: the bank requests documents, freezes, sometimes refuses — mechanics detailed in our article on the corporate purpose.

A regulated activity with no approval presented

The register may be delivered; effective exercise remains subject to the approval. Without it, the account hardly opens for the intended activity — and never for the corresponding flows.

Funds not released, or the deposit certificate missing

Until registration, capital sleeps. Opening an account « in the company's name » before it exists is legally impossible — the notary carries the funds meanwhile.

5. 5. Auto-entrepreneur, importer, foreign director: three different regimes

  • The auto-entrepreneur is entitled, among the benefits listed at article 9 of law 22-23, to the opening of a dedicated commercial bank account — no company, no trade register. Documents are lighter: auto-entrepreneur card, existence declaration, ID.
  • The importer falls outside the ordinary frame: since instruction No. 05-2026, bank domiciliation before shipment follows its own rules and file. Our article Bank domiciliation for imports is devoted to them.

Check the upstream chain before entering the bank

Lease recorded, approval obtained where required, purpose aligned with codes: each link conditions the next.

Photocopy coherence, not only documents

Same name everywhere, manager matching the articles, activities consistent with what you say you do. The bank reads the file as a whole.

Get your branch's official list in writing

Every bank completes the legal core with its own forms. The written list avoids round trips and serves as reference when staff rotate.

Separate capital blocking from current use

After release, open the useful services immediately (transfers, cards): an opened but unused account attracts as many questions as a poorly justified one.
