Your registered office commits your address, your lease — and now a one-month deadline
In short: The registered office looks like the simplest decision of incorporation — one line in the articles. Yet it is the one that publishes your address in the trade register and legal gazette, that receives every official letter, that requires a recorded lease from filing day, and that — since law No. 26-12 of 8 June 2026 — starts a one-month deadline to initiate the register amendment as soon as it changes, under an escalation running from fines (10,000 to 700,000 DZD by person type) to administrative closure of the premises ordered by the wali, then striking off the register. Three legal routes exist: premises leased or owned in the company's name, the director's home — expressly organised and protected for the auto-entrepreneur (articles 7 to 9 of law 22-23) — and domiciliation with an approved provider. This article compares the three, prices what each commits, and gives the order of questions before freezing the clause.
Keywords in this article
1. 1. The three legal routes for your registered office
The National Trade Register Centre requires, for any company, proof of registered office: a lease or deed in the company's name. Three configurations cover the real cases:
| Route | What it implies |
|---|---|
| Rented commercial premises | A commercial lease recorded with the tax services and drawn in the company's name — an unrecorded private-agreement lease is regularly rejected at filing |
| Owned premises | A deed of ownership in the company's name; the address enters its assets |
| Contractual domiciliation | A contract with a structure providing its address — a widespread way to start without premises, with its own costs and quality rules |
Our guide Creating an SARL in Algeria devotes a full stage to the office: it is the document that conditions the filing, then every official letter to come.
2. 2. The auto-entrepreneur works from home — and the home is protected
No form is as comfortable here as the auto-entrepreneur status. Article 7 of law No. 22-23 expressly lets him domicile his activity at his place of residence, or in a shared workspace. Article 8 adds a rarely highlighted asset protection: where the residence serves as domiciliation, it is shielded from seizure for debts or harm linked to the activity.
Add article 9 — the trade-register exemption — and a privacy effect appears: no professional personal address gets published in a consultable register. On this precise point, the light status is also the most discreet.
The boundary to know. The seizure shield covers debts and harm linked to the domiciled activity — not the founder's other personal commitments.
3. 3. Your address becomes public: what that really changes
Incorporation publishes the office in two consultable places: the trade register and the legal publication. For a company incorporated at your personal home, that publication turns your private address into accessible business information — for clients, suppliers, administrations… and nuisances.
The same address then receives all official mail: taxes, funds, courts, buyers. A badly managed address means a lost notification — and legal deadlines do not pause for that. This is why contractual domiciliation developed: it separates the public address from the private one, against a contract and reception services whose quality varies strongly between providers. In our engagements, we check three points before recommending one: the physical reality of the address, mail-reception reliability, and the contract's conformity with CNRC requirements.
4. 4. Moving later: the new one-month countdown
This is where the law just changed. Law No. 26-12 of 8 June 2026 (Official Gazette No. 44 of 18 June 2026) inserts an article 4 bis into law No. 04-08: every trader, natural or legal person, must initiate the amendment of the trade-register extract within one month of the date changes occur — address, purpose, manager, capital included.
The clock starts on the date of the change itself — the effective date of the lease on the new premises, for instance — not on the day one gets around to it. And the escalation provided by rewritten article 37 deserves a full read:
| Stage | Measure |
|---|---|
| Fine | 10,000 to 500,000 DZD for a natural person; 300,000 to 700,000 DZD for a legal person |
| Formal notice | Regularisation within three months of notification |
| Administrative closure | The wali closes the premises until regularisation |
| Striking off | Ordered by the court if nothing is regularised within three months of closure |
A forgotten move can therefore, in a little over six months, lead to the company's legal disappearance. The corrective sequence remains the one described in our article on the corporate purpose: amended articles before the notary, legal publication, register amendment — better to launch that triptych within the month following the lease taking effect on the new premises.

Check my office5. 5. Four questions before freezing the office clause
Does my activity physically receive clients?
Retail or on-site services: premises come first, and their recorded lease becomes an asset. Distance services: contractual domiciliation often does better, for less.
Am I ready to publish my personal address?
Incorporating at home makes that address consultable and official. If privacy matters — it usually does — approved domiciliation exists precisely for that.
Stable monthly budget or one-off cost?
Premises bill continuous rent; domiciliation bills a light subscription. The right calculation compares three years, not three months.
Who receives official mail, how reliably?
Taxes, funds, courts write to the office. A well-run address is a service; a ghost address is litigation risk.
