Article 578 of the commercial code says something most managers discover too late: where bankruptcy reveals a shortfall of assets, it is not for the receiver to prove the manager's fault, it is for the manager to prove his diligence. And evidence cannot be manufactured after the fact.

This workbook is the opposite of a legal exposition. It turns a manager's duties into dated checks — five annual deadlines, nine documents to archive, two tests to run before signing — and for each it gives the article that grounds it and the penalty at stake. It also covers the two points where Algerian law surprises: the company is bound even by an act outside its corporate purpose, and the SARL chapter contains neither regulated agreements nor a prohibition on lending to the manager — which does not make the advance harmless.
