The right to take profits out of Algeria is acquired at incorporation, not at distribution. By the time the question arises in earnest, the decisive facts are three years old and can no longer be corrected.

This review looks at your structure from the only angle that matters at that point: how much of your contributions actually builds the transfer guarantee, and what evidence your bank will demand years later.

What we ask for amounts to few documents: the articles of association, or the draft if nothing has been signed yet, the intended split of funding between contributions and other resources, and the bank certificates of receipt of funds obtained so far. That last item is the one most often missing, and the only one that is not easily recovered: an inflow of funds not documented at the time is hard to reconstruct years later. If the certificates cannot be found, the note says so and sets out what has to be reconstructed first, while it can still be done.

We examine a structure; we do not assemble a file. The note weighs your split against both ratios and lists the evidence of external origin to be gathered; it is addressed to no administration and stands in for neither the transfer file nor the auditor's report that will be required in it when the time comes. The review serves no purpose for a company with purely Algerian capital, nor for a director whose question is a tax question rather than a financial one. Its natural sequel is filing: the note is kept with the articles and the certificates, and is read years later by whoever assembles the transfer file.
